  • Retainer-based development and support
  • Technical consulting

Project Terms


Scope and Pricing


  • All project scopes and pricing are agreed upon in writing before work begins
  • Pricing is transparent and upfront with no hidden fees
  • Changes to scope may result in additional costs, which will be communicated and agreed upon in advance

Timeline and Deliverables


  • Project timelines are estimates and may vary based on project complexity
  • We will provide regular updates and demos throughout the development process
  • Deliverables will be specified in the project agreement

Payment Terms


  • Payment terms will be specified in your project agreement
  • Payments are typically structured as milestones or monthly retainer fees
  • Late payments may result in project delays

Intellectual Property


Client Ownership


Upon full payment, you own all intellectual property rights to the custom code and deliverables created specifically for your project.


Our Rights


We retain rights to:


  • Pre-existing code, frameworks, and tools we developed
  • General methodologies and processes
  • Portfolio usage rights (with your permission)

Client Responsibilities


You agree to:


  • Provide accurate and complete information necessary for project completion
  • Respond to requests for feedback and approvals in a timely manner
  • Make payments according to agreed terms
  • Not use our services for any illegal or unauthorized purpose

Our Responsibilities


We agree to:


  • Provide services with professional skill and care
  • Maintain confidentiality of your proprietary information
  • Deliver work according to agreed specifications
  • Provide support as outlined in your agreement

Limitation of Liability


To the maximum extent permitted by law:


  • Our total liability shall not exceed the total fees paid for the specific project
  • We are not liable for indirect, incidental, or consequential damages
  • We are not responsible for third-party services or integrations beyond our control

Warranty and Support


  • We provide a warranty period as specified in your project agreement (typically 30 days post-launch)
  • Support and maintenance beyond the warranty period may be available under a retainer agreement
  • We do not guarantee that our services will be error-free or uninterrupted

Termination


Either party may terminate a project agreement with written notice. Upon termination:


  • You will pay for all work completed up to the termination date
  • We will deliver all completed work and materials
  • Confidentiality obligations will continue to apply

Confidentiality


We will maintain the confidentiality of your proprietary information and will not disclose it to third parties without your consent, except as required by law.


Third-Party Services


Our services may integrate with third-party services. We are not responsible for:


  • The availability or performance of third-party services
  • Changes to third-party APIs or services
  • Costs associated with third-party services

Dispute Resolution


Any disputes arising from these Terms or our services will be resolved through:


  1. Good faith negotiation
  2. If negotiation fails, through binding arbitration
  3. Applicable law: United States

Changes to Terms


We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the new Terms.
